You agree that all agreements, notices, disclosures, and other communications we provide electronically, whether by email or on the Site, satisfy any legal requirement that such communications be in writing.

Eligibility and Age Requirements

Corpus does not knowingly collect personal information from individuals under the age of 13, whether online or offline. If you are under 18, you may only use the Site with the permission of a parent or legal guardian.

You may not modify, reproduce, publish, transmit, distribute, sell, reverse engineer, create derivative works from, or otherwise exploit any content from the Site, in whole or in part, without the express prior written consent of Corpus AI LLC. Use of the Site does not grant you any ownership rights in any content, and no licenses are granted except as expressly stated in these Terms.

Website Scope: Engagements Are Governed Separately

These Terms govern your use of the corpusbiz.com public website only. They do not constitute a service agreement between you and Corpus AI LLC.

Actual service engagements with Corpus, including marketing services, technology implementation, and any other contracted work, are governed exclusively by a separate, written Master Services Agreement (MSA) and Statement of Work (SOW) executed between the parties. If these Terms ever conflict with a signed service agreement, the signed agreement controls.

Third-Party Links and Services

The Site may contain links to third-party websites. Those sites are not under our control, and Corpus is not responsible for their content, accuracy, or practices. Links are provided for convenience only and do not constitute an endorsement.

Certain services available through the Site may be delivered by third-party providers. By using such services, you acknowledge that Corpus may share relevant information with those providers as necessary to fulfill the requested service, subject to contractual confidentiality obligations.

International Users

The Site is controlled, operated, and administered by Corpus AI LLC from offices within the United States. If you access the Site from outside the United States, you are solely responsible for compliance with all applicable local laws. You agree not to use the Site in any country or manner prohibited by applicable laws, restrictions, or regulations.

Indemnification

You agree to indemnify, defend, and hold harmless Corpus AI LLC and its officers, members, employees, agents, and third-party service providers from and against any claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or inability to use the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.

Corpus reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully in asserting available defenses.

Class Action Waiver

Any dispute resolution under these Terms will take place on an individual basis only. Class, collective, and representative actions are not permitted. You and Corpus each agree to bring claims only in your individual capacity and not as a plaintiff or class member in any putative class or representative proceeding, and no court may consolidate more than one person's claims or preside over any form of class or representative proceeding, unless both parties expressly agree otherwise.

Disclaimer of Warranties

The information, software, products, and services available through the Site are provided "as is" without warranty or condition of any kind. Corpus AI LLC and its suppliers disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Corpus does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Content on the Site is for general information, is not professional advice, may include inaccuracies or typographical errors, and is subject to change without notice.

Limitation of Liability

To the maximum extent permitted by applicable law, Corpus AI LLC and its suppliers will not be liable for any direct, indirect, punitive, incidental, special, or consequential damages, including damages for loss of use, data, or profits, arising out of or in any way connected with your use of or inability to use the Site, any delay or inability to use the Site, the provision of or failure to provide services, or any information or content obtained through the Site, regardless of the legal theory on which the claim is based, even if Corpus has been advised of the possibility of such damages.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the Site or these Terms, your sole and exclusive remedy is to discontinue use of the Site.

Termination and Access Restriction

Corpus reserves the right, in its sole discretion, to terminate or restrict your access to the Site or any portion of it at any time, without notice and for any reason.

Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and Corpus AI LLC. Corpus's performance under these Terms is subject to existing laws and legal process. If any part of these Terms is found to be invalid or unenforceable, that provision will be replaced with a valid provision that most closely reflects the original intent, and the remaining Terms will continue in effect.

These Terms constitute the entire agreement between you and Corpus AI LLC with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written. A printed version of these Terms shall be admissible in legal proceedings to the same extent as other business records maintained in printed form.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Leon County, Florida for any disputes arising out of or relating to your use of the Site or these Terms.

This provision applies to your use of this public website only. Service engagements are governed by the venue and choice of law provisions in the applicable signed service agreement.

Changes to These Terms

Corpus reserves the right to update or modify these Terms at any time at its sole discretion. The most current version will always be available on this page and supersedes all prior versions. We encourage you to review these Terms periodically. Continued use of the Site following any changes means you accept the revised Terms.
